Fiduciary duties of the Elected representatives:

A duty of loyalty means acting in the best interests of TPMG as a whole rather than in the interests of the individual director or some other entity or constituency in which the director is interested.

A duty of care is taking the time to become informed about the corporation's fundamental activities, including its adoption and implementation of procedures to assure compliance with applicable laws.

A duty of diligence involves attending board meetings regularly, being prepared for them, and paying attention to matters being discussed or that should be discussed by the Board.
